Terms and Conditions of Discount:
"1. SF shall examine and approve the discount application at its sole discretion upon receiving of the due original copy of this Application Form. Once the discount is approved by SF, SF shall inform the Applicant concerning the Discount Offer, Spending Forecast, effective date of the discount period in written form.
2. The Discount Offer will only be activated and valid upon the official written notification by the authorized representatives of SF.
3. The eligible services and/ or Discount Offer are subject to change at SF’s sole discretion.
4. The Discount Offer cannot be used in conjunction with other offers. The Discount Offer does not apply to any surcharges(including but not limited to fuel surcharge), special handling fees, duties, taxes, or other additional charges.
5. SF reserves the right to impose fuel surcharge to the eligible services without prior notice.
6. Applicant agrees to meet or exceed the Spending Forecast within forty-five(45) calendar days from the Effective Date as stated above and to maintain the Spending Forecast during the Discount Period. SF shall monitor from time to time the Spending Forecast. If Applicant fails to meet or sustain the Spending Forecast for the eligible services, SF is entitled, at its sole discretion, to modify or suspend the Discount Offer at any time during the Discount Period.
7. SF’s published rate shall be subject to change upon a one month notice from SF to the Applicant(“the Notice Period”). The Applicant shall refer to SF official website <www.sf-express.com> for the updated SF published rate(“the Updated Published Rate”). The calculation of the discounted amount(net rate) shall be based on the Updated Published Rate multiplied by the Discount Offer. For the avoidance of doubt, the Updated Published Rate shall become applicable at the end of the Notice Period(if any).
8. This Terms and Conditions of Discount is also applicable to Import Shipments(i.e. shipments from overseas countries to the Applicant, in which the freight of the shipments to be collected by SF from the Applicant), except the notice period for any change of the SF published rate(for Import Shipments) shall be of seven(7) calendar days.
9. The provision of eligible services during the Discount Period under this Agreement are subject to availability of aircraft space as determined by SF. SF is not liable in anyway if space is not available. SF determination of aircraft space availability for any particular shipment shall be conclusive.
10. This Terms and Conditions constitute the entire agreement between SF and the Applicant. This Terms and Conditions shall supersede and extinguish any and all previous agreements, promises, assurances, warranties, representations and understandings between SF and the Applicant, whether written or oral, relating to the Discount Offer. SF reserves the right to modify, suspend or terminate this Terms and Conditions with or without cause at any time at its sole discretion as long as a thirty (30) calendar days’ notification for modification or withdrawal of the Discount Offer (as stated above) is given to the Applicant.
